Anyone researching how to register a business in Nigeria will face an early decision: register a business name or incorporate a private limited liability company (Ltd)? Both are recognised by the Corporate Affairs Commission (CAC), but they create very different legal arrangements. Choosing solely on the registration price can prove costly when the business starts borrowing, signing major contracts or accepting investors.
This 2026 comparison explains legal liability, ownership, tax treatment, published CAC fees and ongoing compliance. It uses official provisions of the Companies and Allied Matters Act (CAMA) 2020 , CAC's current portal and its May 2025 fee gazette. Neither structure guarantees business success or eliminates regulatory duties.
Quick comparison: business name versus limited company
| Question | Registered business name | Private limited company (Ltd) |
|---|---|---|
| Separate legal personality? | No separate company created for an ordinary sole proprietor or partnership | Yes: company incorporated as a separate legal person |
| Owner's liability? | Proprietor generally personally responsible for business obligations | Shareholder liability generally limited to unpaid share amounts; exceptions exist |
| Ownership structure? | Proprietor or partners | Shareholders; one person may incorporate a private company |
| Outside investment? | Cannot issue corporate equity shares | Can allot or transfer shares subject to law and governing documents |
| Governance and filings? | Usually simpler; annual returns still required | More formal records, officers and ongoing filings |
| Best fit? | Lower-risk, straightforward owner-operated trade | Business requiring a corporate structure, equity or greater separation |
These are general comparisons. Professional, regulated or foreign-owned ventures may need different structures or approvals.
What is a registered business name?
A business name lets an individual or partnership trade under a registered name, such as Green Basket Foods. CAC issues a registration certificate and records the proprietor's particulars, but an ordinary sole proprietorship does not become a separate limited liability company simply because its name is registered.
This distinction matters when a supplier is not paid or a business incurs a debt. An individual proprietor can generally be personally liable for the obligations of the enterprise. A trading-name certificate is neither an insurance policy nor a shield for personal assets.
The attraction is ease of administration. CAC says proprietors may register online without engaging a lawyer, chartered accountant or chartered secretary. Its official business-name page describes an end-to-end digital process and electronic registration documents.
What is a limited liability company?
A private company limited by shares is incorporated as a separate legal entity. It can own property, enter contracts, incur debts and continue operating despite changes in ownership, subject to legal requirements.
Under Section 18(2) of CAMA 2020, one person may form a private company. A founder therefore does not need to invent a second shareholder. A qualifying small company can also operate with one director and may benefit from certain governance exemptions; the legal conditions for small-company status must be checked rather than assumed.
Limited liability has limits. A shareholder's liability is generally linked to unpaid amounts on shares, but directors and owners may still face personal responsibility for fraud, wrongful conduct, personal loan guarantees or specific statutory breaches. Incorporation is not permission to mix personal and company funds.
1. Liability: the biggest difference
Imagine an entrepreneur supplies equipment worth ₦3 million on credit. If the buyer operates as an individual under a business name and defaults, the supplier may pursue the individual in accordance with the contract and applicable law.
If the buyer is a properly incorporated company and the agreement is genuinely with that company, the debt is generally its obligation. That does not automatically make the founder responsible—but the result changes if the founder also signs a personal guarantee or is otherwise legally liable.
For businesses facing significant contract, inventory, employee or property risks, this distinction may be more important than registration fees. Appropriate insurance, safe operations and well-written contracts remain essential whichever structure is chosen.
2. Ownership, investors and expansion
A business name can work for one trader or partners who agree how to share income and responsibilities. However, it does not offer corporate shares for an investor to acquire.
A company can structure ownership through shares and formal shareholder agreements. For example, a founder may hold shares while an eligible investor receives an agreed equity interest through a properly documented transaction. That makes the company format more suitable for many investment and succession arrangements, although transfers and new allotments can have legal and tax consequences.
Investors also assess revenue, governance, business records and risk—not simply whether the name ends in “Ltd”. Incorporation is helpful infrastructure, not proof that the venture is investment-ready.
3. CAC registration fees: the surprising 2026 comparison
The official CAC fee gazette of 29 May 2025 lists the base charges below. They are government filing figures, not guaranteed complete checkout prices.
| Fee item | Business name | Private company with shares |
|---|---|---|
| Ordinary name reservation | ₦1,000 | ₦1,000 |
| Registration or incorporation | ₦20,000, including listed certified documents | ₦10,000 for each ₦1 million of issued share capital or part thereof |
| Illustrative base for ordinary filing | ₦21,000 | ₦11,000 for a private company issuing no more than ₦1 million in shares |
| Other possible charges | Payment or professional charges | Stamp duties, payment or professional charges, and special approvals where relevant |
A private company's statutory minimum issued share capital is generally ₦100,000 under CAMA; particular industries and foreign-participation arrangements may require much more. Share capital is an ownership figure, not automatically a cash fee paid to CAC.
Notice the distinction: the ordinary company's base CAC charge can be lower than the business-name base charge, but its total incorporation cost may be higher once stamp duties and other applicable charges are included. The company will also normally require more formal administration. Check the live CAC payment assessment; do not reuse outdated ₦500 reservation prices.
4. Ongoing annual returns and record-keeping
A business name is not exempt from continuing compliance. Section 822 of CAMA requires registered business names to submit annual returns by 30 June, except in the calendar year of registration, with the prescribed supporting financial information. The 2025 CAC fee schedule lists ₦5,000 for business-name annual returns.
For companies, the gazette also lists ₦5,000 for annual returns where issued share capital is in the ₦100,000–₦100 million band; higher capital bands have higher listed fees. Companies must additionally maintain appropriate corporate and accounting records and make applicable shareholder, director and beneficial-ownership filings.
CAC's iCRP notice says business-name annual-return facilities are being upgraded, with different processing arrangements for names registered before and after July 2025. That is not permission to disregard the statutory obligation.
5. Tax treatment: do not assume an Ltd automatically pays less
The tax distinction is important, but it cannot be reduced to “business names pay one rate and companies pay another”. Income earned through an individual sole proprietorship is generally assessed under the applicable personal-income-tax framework. An incorporated company is a distinct taxpayer, and salary or dividends received by its owners can raise separate questions.
Nigeria's Nigeria Tax Act 2025 took effect in 2026. It contains a small-company classification for tax purposes based on turnover, fixed assets and exclusions, including professional services. This differs from the small-company test in Section 394 of CAMA, which addresses corporate-law qualifications.
Therefore, a company described as “small” on its CAC records should not automatically claim a particular tax exemption. Likewise, a registered business name should not assume its turnover is exempt from all taxes. Obtain guidance based on activity, ownership, turnover and records.
The NRS/JRB Tax ID portal links recognised CAC details to tax identity under the 2026 framework. Registration, Tax ID retrieval and actual tax compliance are separate steps.
6. Banking, credibility and contract opportunities
Both structures may be able to open appropriate business banking arrangements, subject to the bank's checks and policies. Neither registration automatically guarantees a loan, payment gateway or government contract.
Some corporate buyers and suppliers prefer dealing with an incorporated company because ownership, legal personality and governance are clearer. Others will happily contract with properly registered sole proprietors. Ask potential clients what documentation they actually require before choosing a structure merely for appearances.

7. Which should you register? Four practical scenarios
A home-based clothing seller: a business name may be sufficient where the venture is owner-operated, straightforward and its contractual risks are understood. Keep clear delivery and refund terms.
A digital agency taking major client contracts: a private limited company may be preferable where several partners share ownership or contracts create meaningful liability and continuity concerns. Remember that incorporation does not eliminate professional negligence risks.
A restaurant adding investors or new branches: a company can formalise shares, management and expansion financing. Food safety, premises and labour obligations continue independently.
A regulated financial or healthcare venture: begin with the sector regulator's licensing and capital rules. A business name may not satisfy the applicable requirements, and incorporating an Ltd is still not itself a sector licence.
8. Can you move from a business name to an Ltd?
Yes, an entrepreneur may decide to establish a new company after operating under a business name. But do not assume that simply changing a name automatically transforms the original proprietor into the new company.
Plan the transition carefully: incorporate the company, check name availability, transfer or assign relevant contracts and assets lawfully, update bank and supplier records, handle employees and tax registrations, and address any old debts. Existing creditors' rights cannot be erased by obtaining a new certificate. A solicitor or accountant can help with substantial transfers.
Frequently asked questions
Can one person register an Ltd in Nigeria?
Yes. Section 18(2) of CAMA 2020 allows a single person to incorporate a private company. Eligibility to have only one director depends on the relevant small-company rules.
Does a business name protect my personal assets?
Not in the way a properly incorporated limited company generally separates corporate obligations from shareholder liability. Sole proprietors remain exposed to their own business debts and obligations.
Is a business name always cheaper than an Ltd?
No. The 2025 CAC gazette lists ₦21,000 in ordinary business-name base registration charges and ₦11,000 in ordinary name-reservation and incorporation filing charges for a private company with up to ₦1 million issued capital. Company stamp duty and other costs are additional.
Does CAC registration automatically protect my brand as a trademark?
No. Registering a trading or company name is different from securing a trademark under the appropriate intellectual-property regime.

Final verdict: choose for the business you intend to run
A business name is a practical starting point for many sole traders and smaller partnerships that understand the personal-liability consequences. A private limited company is often better suited to investors, formal shareholding, continuity and activities where a separate corporate identity is valuable.
Neither structure is universally best, and the lowest initial CAC charge should not decide the question. Evaluate liability, growth plans, capital, tax position and compliance capacity first, then apply using the official CAC registration portal . That decision is a more useful foundation than choosing whichever certificate looks cheapest today.
